Komatsu to acquire remanufacturing business of SRC of Lexington, Inc. in the United States

Komatsu Ltd. (hereafter “Komatsu”) (President and CEO: Takuya Imayoshi) announced today that its wholly owned subsidiary, Komatsu America Corp. (President and CEO: Kozo Okuda), has entered into an agreement to acquire the remanufacturing business assets of SRC of Lexington, Inc. (Lexington, Kentucky, U.S.A.; President & General Manager: Rob Shear), a long-standing supplier of remanufactured components and parts for construction and mining equipment.

Subject to the completion of customary closing conditions, the transaction is expected to close by the end of February 2026. The impact of this acquisition on Komatsu’s consolidated financial results is expected to be minimal.

Remanufacturing (“Reman”) is a core element of Komatsu’s circular business model. Through its Reman operations, Komatsu recovers used components from construction and mining equipment, restores them to like-new condition at dedicated facilities, and returns them to the market with the same quality standards as new components, while reducing cost, lead time, and environmental impact.

By leveraging its in-house expertise in key components such as engines and transmissions, Komatsu’s Reman products help customers lower total lifecycle costs while supporting resource efficiency through reuse. As demand for these solutions has grown, Komatsu’s Reman business has expanded significantly, with transaction volume increasing approximately fourfold between FY2010 and FY2024.

The acquisition reflects increasing demand for Reman products, driven by growth in the installed base of quarry and mining equipment in North America since 2010, as well as strong customer and distributor demand for a regional Reman center.

Komatsu established its global two-pillar Reman structure with the launch of a facility in Chile in 2005 to support electric dump trucks manufactured in the United States, followed by a facility in Indonesia in 2007 serving components manufactured in Japan. As of 2025, Komatsu’s Reman network has expanded to 45 locations across 16 countries.

The addition of the Lexington, Kentucky remanufacturing center further strengthens Komatsu’s North America Reman network in one of the world’s largest construction and mining equipment markets, while expanding global supply capacity to support growing customer demand.
