Please be advised that the Board of Directors of Komatsu Ltd. (hereinafter “Komatsu”) made a resolution concerning the change of representative directors' positions as follows in the Board meeting held today (February 16, 2026).
1. Reason(s) for the Change
Due to the change of management structure.
2. Names and New Positions
Takuya Imayoshi, currently President and Chief Executive Officer, Representative Director will continue to serve in the same position. As a result, Takuya Imayoshi and Taisuke Kusaba will serve as Komatsu's Representative Directors.
Takeshi Horikoshi will retire from the position of Director and assume the position of Adviser, upon closing of the Ordinary General Meeting of Shareholders scheduled for June 2026.
